Investment Highlights, Value Proposition and Management Overview
Your company’s educational profile is your landing page on the INN site. It distills and simplifies your story to educate investors, differentiate you from your peers, and generate information requests from our investor audience.
The profile will feature your past company news, management team bios, stock chart, ceo interviews, INNspired articles, images, links to your Twitter account, and company website.

Your campaign may include an important tool for investor awareness and distribution. You can choose any piece of content to be sent to the spotlight database including material press releases and/or any company-specific content created by INN.
Push Notifications
This direct marketing feature shows a temporary notification - that includes your company logo and news headline in the internet browser and/or the mobile device of our subscribers.
INN permits 3 x Spotlights and 3 x Push Notifications per day to be sent to our subscribers.

CEO Interview
Your Account Manager will collaborate with you to determine topics to explore during a 10-minute conversation. The interview will be published on all Campaign Channels, including your educational profile following your review and approval.
Display Advertising
Banner Ads
INN will design leaderboard and medium rectangle animated banner advertisements that will link back to your educational profile and be displayed on the appropriate channels. The medium rectangle advertisement is also featured in the newsletter channels your campaign is targeting.
These advertisements will communicate your company's investment highlights up to eight words and use imagery of your choosing.
If you choose to create and submit your own advertisements the specs are as follows: Leaderboard (728p x 90p), Medium Rectangle (300p x 250p), maximum file size 40kb.
Checklist of Materials Required to Create Banner Ads:
- Images: 1152 x 863 pixels, at least 200 pixels/inch that you recommend
- Logo: 640 x 480 pixels, at least 100 pixels/inch
- 8 words or less tagline about your company
INNspired Articles
Our INNspired content product is designed to educate investors on topics that align with your company’s business model, jurisdiction and/or industry. The sponsored article is meant to be a resource for you to share with potential investors so that they have a better understanding value proposition.
We will work with you directly to choose a topic or narrative. As such we will ask for your approval on topics, article briefs, and written content in advance of publishing
Our goal is to deliver an article that educates, engages, and supports why you are in business.

Investor Engagement
Lead Generation
Our lead generation system is based on the concept of "double opt-in" and is CASL and CAN-SPAM compliant. As such, all leads you will receive have provided consent for your company to contact them.
Once we verify a request, our system will send an email that includes a link to your latest corporate presentation or factsheet (Investor Kit)
Please provide us with the following:
- the link to your latest corporate presentation and/or factsheet
- contact details for up to four designated lead recipients
Best Practice for Email Lead Follow-up:
Each Monday, you will receive a CSV file with the contact details of investors that have requested and agreed to receive communications from your company.
We recommend using an email marketing system such as (Constant Contact) when communicating with potential investors. This type of software will allow you to manage your various contacts and send professional newsletters while providing access to detailed analytics and reporting.

When communicating with investors you must include the following items to remain compliant with CASL:
- Inform the contact why you are contacting them and where you received their contact information (see sample below)
- Company address at the bottom of the email
- Unsubscribe link

INN Campaigns as Promotion and Payment Terms
The British Columbia Securities Act was updated in March of 2020. The Act now includes very broad definitions of “promotional activity'' and “investor relations activity”. These definitions include:
any activity, including, for greater certainty, any oral or written communication, that by itself or together with one or more other activities encourages or reasonably could be expected to encourage a person
- 1.to purchase, not purchase, trade or not trade security, or
- 2.to trade or not trade a derivative
This was a response to the BCSC seeing what they termed Problematic promotional activities by issuers. INN’s understanding is that the BC Securities Commission is in the process of determining what the disclosure requirements will be for issuers who contract with anyone to perform promotional activities. Until those disclosure requirements are determined, the BCSC has strongly encouraged INN to require issuers to disclose their contract with INN according to the policies of their exchange as if the contract were to provide investor relations services.
This document is not legal advice. All companies should discuss disclosure requirements with their securities and legal counsel in order to determine how to proceed.
Note: INN has not received a request from an issuer to submit a Personal Information Form or Form 2C1 since updating and simplifying its contracts in May 2022.
TSXV Issuers
INN’s understanding is that the TSXV is requiring all issuers who contract with INN to treat that contract as being covered by TSXV Policy 3.4.
TSXV Policy 3.4 requires service providers (INN) to file a PIF or Form 2C1 when contracting with an issuer. INN will make this submission, within 5 business days of contract signing. Policy 3.4 also requires issuers to file Form 3C. INN requests that after filing a Form 3C, the issuer advise INN when that form has been approved by the TSXV.
Policy 3.4 says that promotional services should be paid for on a “fee for service basis”. The TSXV has decided that this means fees cannot be paid in advance at the beginning of a contract. INN understands that the TSXV is trying to ensure that promotional services are being paid for on a cash basis only and not in the form of shares for services.
INN has also experienced issuers being required to provide an “Officer’s Certificate and Understanding” stating that INN has not directly or indirectly participated in any financing of the issuer in the last 6 months and that the issuer will not pay for any future promotional services through the issuance of securities. INN does not know what conditions result in this certificate being required.
With regards to disclosure of a contract with INN, the following should be included in a press release:
- Issuer has entered into an advertising and investor awareness campaign with Dig Media Inc. dba Investing News Network (INN)
- INN is a private company headquartered in Vancouver, Canada, dedicated to providing independent news and education to investors since 2007.
- For the 12 month term of the agreement, INN will provide advertising to increase awareness of the issuer. INN does not provide Investor Relations or Market Making services.
- The cost of the campaign is $X,XXX payable [Payment Terms].
- INN currently holds ## shares in Issuer
TSXV Sample Language
[Company] has entered into an advertising and investor awareness campaign with Dig Media Inc. dba Investing News Network (INN). INN is a private company headquartered in Vancouver, Canada, dedicated to providing independent news and education to investors since 2007 at www.investingnews.com. For the 12 month term of the agreement, INN will provide advertising to increase awareness of the issuer. INN does not provide Investor Relations or Market Making services. CSE Issuers
The CSE issued Notice 2021-003 - Guidance on Investor Relations and Promotional Activity on July 13, 2021.
This notice explains that the CSE is in the process of updating their Policy 7 to reflect the new legislation. The disclosure requirements required will be a Form 10 and a press release disclosing the following:
- Issuer has arranged for Dig Media Inc. dba Investing News Network (INN) to perform an advertising and investor awareness campaign on the INN website: investingnews.com
- There is no other relationship between Issuer and INN. INN is based in Vancouver, BC and can be reached at 604-688-8231 or info@investingnews.com
- The campaign is contracted to start and end on these dates:

CSE Sample Language

Exchange Approval
INN’s understanding is that submitting the Form 3C will result in the TSXV approving or not approving the contract between INN and the issuer. INN is not aware of approval being required from the CSE.
